Walter stores protected health information (PHI) — care plans, meds, client photos. Federal law requires a Business Associate Agreement before any PHI enters the system.

Business Associate Agreement (BAA)

This agreement governs how Walter handles PHI on behalf of your agency. It satisfies the HIPAA Business Associate requirement under 45 CFR § 164.504(e).

HIPAA BUSINESS ASSOCIATE AGREEMENT

This Business Associate Agreement ("Agreement") is entered into between the Agency ("Covered Entity") and Walter Technologies Inc. ("Business Associate"), effective upon acceptance below.

1. Definitions. Terms used but not defined in this Agreement have the meanings given in the HIPAA Rules (45 CFR Parts 160 and 164).

2. Obligations. Business Associate agrees to: (a) not use or disclose PHI other than as permitted by this Agreement; (b) implement appropriate administrative, physical, and technical safeguards; (c) report any breach of unsecured PHI within 60 days of discovery; (d) ensure any subcontractors agree to the same restrictions.

3. Permitted Uses. Business Associate may use PHI to provide services to Covered Entity and as required by law.

4. Term and Termination. Agreement remains in effect for the duration of the service relationship. Either party may terminate upon 30 days notice if the other party materially breaches this Agreement.

5. Return or Destruction. Upon termination, Business Associate will return or destroy PHI within 90 days.
